Director, officer, share and address changes

When a director joins or leaves, shares change hands or the company moves, your company records must be updated, and registry filings are made where required. Finvo prepares the resolutions and registers with registry software, handles the filing for you in BC or Alberta and explains the tax side. Work is quoted after a free call, plus government fees. Finvo is not a law firm and does not give legal advice.

Common changes

When something changes

Most changes need two things: the registry told, and the minute book updated. Here's what we handle.

Directors

A director joins or leaves. We prepare the consent or resignation and the resolution, update the register and file the notice.

Officers

The directors appoint or replace a president, secretary or other officer. We prepare the resolution and update the register.

Share transfers

Shares move from one person to another. Once you've decided, we prepare the approval, cancel and issue certificates and update the registers.

New shares issued

The company issues shares to a new or existing shareholder. We prepare the resolution, certificate and register entries.

Office addresses

The registered or records office moves. We prepare the resolution where needed and file the change.

Company name

A new name, with the name approval and the change filed with the registry for you.

BC and Alberta fees

How BC and Alberta handle changes

The basics are the same: record the change and tell the registry. The steps and fees differ, and the fees are added on top of our quote.

British Columbia

Notice of change of directors
$20
Company name change
$100
Name Request for the new name
$30

A company must be in good standing with its annual reports before it changes its name. Other filings, such as address changes, have their own government fees; we confirm them before filing.

Alberta

Notice of change of directors (estimate)
up to $20
Company name change (estimate)
up to $60

Finvo's estimates from recent registry work. These are estimates, not statutory government fees or maximum registry-agent charges; Alberta registry agents set their own service charges, which vary. We confirm an itemized total before filing.

Director and address changes go to an authorized registry service provider within 15 days of the change. The registered office must be a physical location in Alberta.

Registry agent service charges and other fees can apply; we confirm the total before filing.

Shares

Share transfers and issues, the basics

Shares change hands when a partner joins or leaves, a family member comes in or a holding company is set up. Each one is a company decision and a tax event, so both sides need planning.

Share transfers are recorded in the company's own registers. They also show up elsewhere: Alberta's annual return lists the top five shareholders, and a BC company's transparency register may need an update within 30 days.

Selling or giving shares can have tax results, especially between family members. We explain the tax side before anything is signed. Finvo is not a law firm: your lawyer advises on the agreement and the legal side.

  1. Plan the tax side

We look at the value, who's involved and the tax for both sides before the change.

  2. Check the articles

Many articles say directors must approve a transfer, or limit who can hold shares. We follow the steps your articles set out; if they need interpreting, your lawyer advises.

  3. Resolution prepared

The directors' approval of the transfer or issue, prepared from standard templates.

  4. Certificates and registers

Old certificates are cancelled, new ones issued, and the registers updated.

  5. Filed where needed

Routine registry filings that follow from the change are handled for you.

Who does what

Routine changes here. Legal changes with your lawyer.

Bigger changes, such as amalgamations, closing a company, new share classes in an existing company or a shareholder agreement, are legal matters, and Finvo does not do that work. Your lawyer, or a lawyer we can recommend, handles them, and we do the financial side. See bigger changes.

Finvo

Routine records and filings, prepared with registry software, and the financial side of bigger changes: books, financial statements and tax.

Your lawyer, or a lawyer we recommend

Anything that needs legal advice: amalgamations, restorations, dissolutions that need advice, share reorganisations, disputes and agreements.

Together

We stay in the loop and give your lawyer accurate documents and figures.

Questions

Corporate changes, answered

How do I add or remove a director of a BC company?

A new director consents; a departing director may resign or be removed through the applicable legal process. We record and file the resulting change; your lawyer handles disputed removals. The change is recorded in the register of directors. The company then files a Notice of Change of Directors with BC Registries, which costs $20 (checked 27 Oct 2026). We prepare the documents and handle the filing for you.

How are director changes filed in Alberta?

Alberta corporations report director and address changes to an authorized registry service provider within 15 days of the change. The registry fee for a notice of change of directors is up to $20 (an estimate from our recent registry work, not a statutory fee); registry agent service charges and other fees can apply, and we confirm the total before filing. We prepare the forms and handle the filing for you.

Can I transfer shares to my spouse or a family member?

Often, yes, if your articles allow it. But a transfer between family members can have tax results for both of you, so we look at the tax side before anything is signed. Your lawyer advises on any agreement. Once it's decided, we prepare the approval, certificates and register updates.

Do share transfers get filed with the registry?

Share transfers are recorded in the company's own registers and certificates. They can show up in registry filings too: Alberta's annual return lists the top five shareholders, and a private BC company may need to update its transparency register within 30 days.

How do we change the registered office address?

In BC, the change is filed with BC Registries, and we confirm the fee before filing. In Alberta, address changes go to an authorized service provider within 15 days, and the registered office must be a physical location in Alberta. We also update your minute book.

What does a BC company name change cost?

In BC, a name change costs $100, plus $30 for the Name Request to approve the new name (checked 27 Oct 2026). The company must be in good standing with its annual reports first. Name changes are quoted after a free call, and we handle the filing for you. In Alberta, a name change is up to $60 in registry fees (an estimate from our recent registry work, not a statutory fee), plus any registry agent charges.

Can you handle an amalgamation or close my company?

Not the legal part. Amalgamations, dissolutions and other bigger changes are legal matters, and your lawyer, or a lawyer we can recommend, does that work. We do the financial side: the books, financial statements, tax returns and records your lawyer needs, and we stay in the loop.

Is Finvo a law firm? Can you give legal advice?

No. Finvo is not a law firm and does not give legal advice. We prepare routine corporate records and filings with registry software, for matters that don't need legal advice. For anything legal, your lawyer (or a lawyer we can recommend) does that work, and we support them. Consultants and paralegals can support administrative work under a lawyer, or handle filings that need no legal advice.
